What Patterson-UTI is Hiring for:

The Contracts Manager will prepare, review, and negotiate customer contracts on behalf of the organization.  This position will be responsible for supporting the Senior Counsel - Transactions and the sales and marketing organizations for the operating subsidiaries of Patterson-UTI Energy, Inc.  This position may act as the liaison between the General Counsel/Senior Counsel - Transactions and the operations and sales and marketing organizations and will work under limited supervision.  This position is also responsible for executing assigned projects independently and engaging in a wide range of contract matters. 

Detailed Description:

  • Draft and negotiate customer contracts, amendment letters, assignments and other contracts with complex commercial terms and risk allocation provisions.
  • Partner with in-house attorneys, external counsel, risk management personnel, sales and marketing, Health Safety & Environment (HSE) and operations personnel to ensure all legal considerations and internal needs are met on a timely basis.
  • Prepare contract templates and procedures for contract preparation, review, and execution. 
  • Understand contract legal components and use knowledge to accurately lead the contract management process.
  • Initiate timely communication with Legal Department business partners and internal customers to address open issues and ensure workflow optimization.
  • Ensure compliance with all Company protocols, procedures and controls when performing all assigned duties.
  • Ensure accurate record keeping and maintenance of contract files.
  • Manage multiple priorities simultaneously and ensure all deadlines are met timely; Take pride in work product.
  • Partner with legal, sales and marketing, management and operations teams and promote a productive and professional work environment.
  • Use knowledge and experience to add value to the Legal Department and the organization.

  • Perform other related duties as assigned.

Job Requirements:

  • Strong verbal and written communication skills, with the ability to effectively communicate with a diverse group of people including internal customers and third parties.
  • Demonstrate professional conduct and executive presence, exercising tact, diplomacy and discretion in sensitive matters including confidentiality in all assigned work.
  • Display proficient knowledge of contractual terms and statutes and case law relating to indemnification, insurance, termination, and other contractual provisions.
  • Possess excellent organizational and time management skills.
  • Manage the different needs of the Legal Department, sales and marketing, operations, and other internal constituencies.
  • Ability to work under time-sensitive deadlines and maintain a calm and professional demeanor when adversity is encountered.
  • Excellent computer skills with proficiency in the use of MS Office (Outlook, Word, etc.).
  • Excellent attention to detail and awareness of legal and operational risks.

Minimum Qualifications:

  • Bachelor’s Degree Business Administration or related field of study
  • 5+ years’ experience in legal department or law firm related to contract review required

Preferred Qualifications:

  • Doctor of Jurisprudence (JD) degree from an American Bar Association accredited law school
  • Oil and Gas service contract experience

Additional Details:

This position is eligible for Remote Work.  Work is primarily in a climate controlled / office environment with minimal safety / health hazard potential. The employee is regularly required to sit, stand, or walk with occasional lifting (overhead, waist level) from floor, bending and frequent near vision use for reading and use of computer, telephone, and other office equipment.
